Terms

Terms of service

These terms set out how a school or group of schools uses FirstDay. Where a signed order form or agreement says something different, that document takes precedence.

Effective date: effective date to be confirmed

This page is a template awaiting legal review. It describes how FirstDay works today, but it is not yet our final wording. Details marked “to be confirmed” are still being finalised.

01Who these terms are between

These terms are between legal name of the company to be confirmed, registered at registered address to be confirmed (“FirstDay”, “we”), and the school or organisation that signs up (“the Customer”, “you”). They take effect on effective date to be confirmed.

02Definitions

  • Platform: the FirstDay school management platform, including the core features every plan includes.
  • Modules: optional features the Customer switches on per school, each priced on its own.
  • Users: the people the Customer gives access to the Platform.
  • Customer Data: the information the Customer and its Users put into the Platform.

03The service

We provide the Platform and any Modules the Customer switches on, as described on this website and in the Customer's order. A current list of Modules is on the modules page.

04Accounts and users

  • The Customer decides who has access and which roles they hold, and is responsible for what its Users do in the Platform.
  • Users must keep their sign-in details secure and tell the Customer promptly if they suspect misuse.
  • Each school's data is kept separate; a User sees only what their role at that school allows.

05Fees and payment

Fees are set out in the current fee schedule (EUR, excluding VAT). Module fees are charged per school, on the unit shown for each module.

  • Invoicing and payment terms: payment terms to be confirmed.
  • Notice before fees change: notice period for fee changes to be confirmed.
  • VAT and any other applicable taxes are added where required.

06Customer Data and data protection

The Customer owns Customer Data and is its controller. We process it only to provide the service and on the Customer's instructions, under a data processing agreement that forms part of these terms. How we handle personal data is described in our privacy notice.

The Customer is responsible for having a lawful basis for the data it records and for telling families and staff how it is used.

07Acceptable use

The Customer and its Users must not:

  • use the Platform unlawfully, or to send unsolicited messages;
  • try to reach data belonging to another school, or get around access controls;
  • interfere with the Platform's security or performance, including through excessive automated requests;
  • resell or sublicense the Platform except as agreed in writing.

08Availability and support

We work to keep the Platform available and to fix faults promptly. Support hours, channels and any service levels: support hours and service levels to be confirmed.

09Intellectual property

We own the Platform and everything we build for it. The Customer owns Customer Data and its own branding. Each grants the other only the rights needed to provide and use the service.

10Confidentiality

Each party keeps the other's confidential information private and uses it only for the purposes of this agreement.

11Third-party services

Some features rely on services the Customer connects or switches on, such as Stripe for tuition payments. Those services are governed by their own terms between the Customer and the provider.

12Term, suspension and ending the agreement

  • Minimum term and notice: minimum term and notice period to be confirmed.
  • We may suspend access if fees are seriously overdue or if use of the Platform puts its security at risk, and will tell the Customer first where we reasonably can.
  • Returning and deleting Customer Data at the end of the agreement: data return and deletion on exit to be confirmed.

13Warranties and liability

This clause is to be drafted by counsel. Nothing here limits liability that cannot be limited by law.

Limitation of liability: limitation of liability to be confirmed.

14Governing law

Governing law and jurisdiction: governing law and jurisdiction to be confirmed.

15Changes and contact

We will give notice before changing these terms in a way that matters to the Customer. Questions about these terms: contact email address to be confirmed.
